Terms of Service

These Terms of Service (the "Terms") form a legally binding agreement between you and Futureaiit Consulting Private Limited, a company incorporated in India with its registered office at UNIT 405-411 BIZNESS SQR, HN.1-98/3/5/23 TO 27, Madhapur, Shaikpet, Hyderabad – 500081, Telangana, India ("Futureaiit," "Company," "we," "us," or "our"), governing your access to and use of the Meowdy website and mobile applications and all related features (together, the "Service").

"Meowdy" is a brand and product operated by Futureaiit Consulting Private Limited. It is not a separate company, subsidiary, or independent legal entity. Every right, obligation, and liability described in these Terms as belonging to "Meowdy" belongs to, and is enforceable by and against, Futureaiit Consulting Private Limited.

By creating an account, checking a box indicating agreement, clicking "I am 18 or older - Enter," or otherwise accessing or using the Service in any way, you agree to be bound by these Terms and by our Privacy Policy, Community Guidelines, and Cookie Policy, each incorporated into these Terms by reference. If you do not agree to all of these terms, you must not access or use the Service in any way.

You must be at least 18 years old to create an account, use anonymous chat, or access any part of the Service. The Service is not designed, intended, or permitted for use by minors, and we do not knowingly allow anyone under 18 to use it, under any circumstances, regardless of local age of majority or parental consent.

By using the Service, you represent, warrant, and covenant that: (a) you are at least 18 years old; (b) you have the legal capacity to enter into a binding contract with us; (c) you are not barred from using the Service under the laws of India, your country of residence, or any other applicable jurisdiction; (d) you are not a person or entity restricted from using the Service under any economic sanctions, export control, or anti-money-laundering law; and (e) all registration information you provide is truthful, accurate, and not misleading, and you will maintain the accuracy of such information.

Misrepresenting your age is a material breach of these Terms. If we discover, or have reasonable grounds to suspect, that you are under 18, or that you provided false information about your age or identity to circumvent our eligibility requirements, we will immediately suspend or terminate your account and delete associated data as described in our Privacy Policy, without notice and without liability to you, and we reserve the right to report such circumstances to the appropriate authorities where we believe doing so is necessary to protect the safety of minors.

If you are a parent or guardian and believe a minor is using or has used the Service under your care, contact us immediately using the details in Section 20 so we can investigate and take corrective action.

Meowdy facilitates random, anonymous, and account-based text, photo, voice, and video communication between users who do not know each other, matched algorithmically based on filters you select (which may include gender preference, general "intent," approximate proximity, and verified-account status for Premium subscribers). The Service also offers an optional registered-account layer enabling persistent "friend" connections, saved chat history, and direct messaging with people you have added.

You are communicating with real strangers whose identity, age, intentions, and truthfulness we cannot verify beyond the limited safeguards described in these Terms and our Community Guidelines. You use the Service, and interact with other users, entirely at your own risk. We strongly encourage you never to share personal identifying information (full name, home address, financial details, workplace, school, or other contact details) with people you meet through the Service, and to immediately block and report any user who requests such information, makes you uncomfortable, or otherwise violates our Community Guidelines.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials.

You may not create more than one account for the purpose of evading a ban or restriction, impersonate another person, or create an account using false, misleading, or another person's information.

The Service offers an optional paid subscription tier ("Premium") that unlocks certain additional matching filters (such as gender filtering, distance-based "Nearby Matching," and verified-only matching) and additional customization features. Core random chat functionality remains free to use, with or without an account, subject to these Terms.

Premium subscriptions are billed on a recurring basis through our third-party payment processors, Stripe and Razorpay, at the price displayed to you at the time of purchase. By subscribing, you authorize us (via our payment processor) to charge your chosen payment method on a recurring basis until you cancel. Cancellation takes effect at the end of your current billing period; you will retain Premium access through the remainder of the period you have already paid for, and we do not provide prorated refunds for partial periods except where required by applicable law.

All fees are exclusive of applicable taxes unless stated otherwise, and you are responsible for any applicable taxes associated with your purchase. We reserve the right to change our pricing prospectively at any time, with reasonable notice for existing subscribers.

You agree not to use the Service to, and not to permit or assist anyone else to:

(a) engage in, solicit, promote, or facilitate any sexual conduct, exploitation, or communication involving a minor, or any content that sexualizes minors in any way, under any circumstances;
(b) harass, bully, stalk, threaten, defame, or intimidate any other user;
(c) send, upload, or display sexually explicit content, unsolicited nudity, or content depicting non-consensual sexual conduct;
(d) impersonate any person or entity, or misrepresent your identity, age, or affiliation;
(e) solicit money, gifts, financial account information, cryptocurrency, or other things of value from other users, or engage in or promote any scam, fraud, or multi-level-marketing scheme;
(f) advertise, solicit, or promote any commercial product or service without our prior written consent;
(g) upload, transmit, or facilitate any virus, malware, or other harmful code;
(h) attempt to access another user's account, our non-public systems, or interfere with or disrupt the Service's infrastructure, including through denial-of-service attacks, scraping, or automated bot access;
(i) reverse-engineer, decompile, or attempt to extract the source code of the Service except as permitted by applicable law;
(j) use the Service to violate any applicable local, state, national, or international law, including laws relating to obscenity, harassment, hate speech, or the protection of minors;
(k) record, screenshot, or redistribute another user's messages, photos, or call content without their consent, or use such content to harass, blackmail, or "dox" another user;
(l) circumvent, disable, or otherwise interfere with any age-verification, content-moderation, security, or access-control feature of the Service; or
(m) use the Service if you have been previously banned, unless you have our express written permission to return.

A more detailed, non-exhaustive list of prohibited conduct and content is set out in our Community Guidelines, which form part of these Terms.

Futureaiit maintains a strict, absolute zero-tolerance policy toward any content or conduct that sexually exploits or endangers minors, including but not limited to child sexual abuse material (CSAM), grooming, solicitation of a minor, or any attempt to use the Service to contact a minor for sexual purposes. Any user who violates this policy will be permanently banned immediately upon detection, without warning, and we will preserve relevant evidence and report the matter to the National Center for Missing & Exploited Children (NCMEC), Indian law enforcement authorities, and/or other appropriate authorities, as required or permitted by applicable law, and cooperate fully with any resulting investigation. This is the single most important rule governing use of the Service, and we treat every report alleging a violation of this Section with the highest priority.

We provide in-app tools to block and report other users. We may, but are not obligated to, monitor, review, or moderate content on the Service. We reserve the right, in our sole discretion and without notice, to: remove or restrict access to any content; warn, suspend, or permanently ban any account; restrict a user's access to specific features; and disclose account or usage information as described in our Privacy Policy, including to law enforcement, if we believe such action is necessary to comply with law, enforce these Terms, protect the rights or safety of any person, or protect the integrity of the Service.

Decisions to suspend or terminate accounts are made at our sole discretion. We are under no obligation to provide advance notice, a warning, or an explanation before taking enforcement action, particularly where we believe doing so could compromise user safety or an ongoing investigation.

You retain ownership of the content you create and share through the Service (messages, photos, and other materials, "User Content"). By submitting User Content, you grant Futureaiit a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, transmit, and display that User Content solely as necessary to operate, provide, secure, and improve the Service (for example, to deliver your messages to your matched partner, to enable saved chat history if you use that feature, and to review reported content for moderation purposes). This license ends when the relevant content is deleted from our systems, except to the extent retained as permitted under our Privacy Policy (for example, content preserved as part of an active trust-and-safety investigation).

You represent that you own or have the necessary rights to any User Content you submit, and that it does not infringe the intellectual property, privacy, or other rights of any third party.

The Service, including its software, design, graphics, logos, the "Meowdy" name and branding, and all underlying technology, is owned by Futureaiit Consulting Private Limited or our licensors and is protected by intellectual property laws of India and other countries. Except for the limited right to use the Service as permitted by these Terms, no right, title, or interest in the Service is transferred to you, and all rights not expressly granted are reserved by Futureaiit.

The Service relies on and links to certain third-party services (including Stripe, Razorpay, and mapping services used for the Nearby Matching feature). We are not responsible for the content, policies, or practices of any third-party service, and your use of them is governed by their own terms and privacy policies.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Futureaiit does not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that any defect will be corrected.

Futureaiit does not verify the identity, age, background, or intentions of any user beyond the limited measures described in these Terms, and makes no representation or warranty regarding the conduct of any user, on or off the Service. You are solely responsible for your interactions with other users. We strongly recommend exercising caution, protecting your personal information, and, if you choose to meet another user in person, taking independent precautions for your own safety - we have no involvement in, and assume no responsibility for, any in-person meeting arranged through the Service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FUTUREAIIT CONSULTING PRIVATE LIMITED, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE, INCLUDING WITHOUT LIMITATION ANY DAMAGES RESULTING FROM YOUR INTERACTIONS WITH, OR THE CONDUCT OF, ANY OTHER USER, WHETHER ONLINE OR IN PERSON, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FUTUREAIIT'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO FUTUREAIIT FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIVE THOUSAND INDIAN RUPEES (₹5,000).

Some jurisdictions do not allow the exclusion or limitation of certain damages or warranties, so some of the above limitations may not apply to you to the extent prohibited by applicable law; in such jurisdictions, our liability is limited to the greatest extent permitted by law.

You agree to defend, indemnify, and hold harmless Futureaiit Consulting Private Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your violation of these Terms, our Community Guidelines, or any applicable law; (d) your violation of any third-party right, including intellectual property or privacy rights; or (e) any dispute or interaction between you and any other user of the Service, including any in-person meeting arranged through the Service.

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice, including for violation of these Terms or our Community Guidelines, or if we believe termination is necessary to protect the safety of our users or the integrity of the Service. You may stop using the Service, and request deletion of your account, at any time as described in our Privacy Policy.

Sections of these Terms that by their nature should survive termination - including ownership, disclaimers, limitation of liability, indemnification, dispute resolution, and general provisions - will survive.

These Terms, and any dispute arising out of or relating to them or the Service, are governed by the laws of India, without regard to its conflict-of-laws principles. Subject to the arbitration agreement below, you agree that the courts located in Hyderabad, Telangana, India shall have exclusive jurisdiction to resolve any dispute not subject to arbitration, and you consent to the personal jurisdiction of such courts.

Arbitration agreement. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service, including its formation, breach, or validity, shall be referred to and finally resolved by arbitration administered in accordance with the Arbitration and Conciliation Act, 1996 (India), by a sole arbitrator appointed by mutual agreement of the parties, or failing agreement, in accordance with that Act. The seat and venue of arbitration shall be Hyderabad, Telangana, India, and the language of arbitration shall be English. This arbitration agreement does not prevent either party from seeking urgent injunctive or equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

No class actions. To the maximum extent permitted by applicable law, any proceedings to resolve a dispute shall be conducted only on an individual basis and not in a class, consolidated, or representative action.

We may modify, suspend, or discontinue the Service, in whole or in part, at any time, with or without notice. We may also update these Terms from time to time; if we make material changes, we will update the "Effective date" above and, where appropriate, provide additional notice. Your continued use of the Service after a change becomes effective constitutes your acceptance of the revised Terms.

Entire agreement. These Terms, together with the Privacy Policy, Community Guidelines, and Cookie Policy, constitute the entire agreement between you and Futureaiit regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Notices. We may provide notices to you via the Service, the email address associated with your account, or other reasonable means.
